Terms of Service

Welcome to Mumzie, a service operated by Mumzie Holdings LLC ("Platform", "Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our practice management platform for birth and postpartum doulas. By accessing or using Mumzie, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

  • •"Provider" means doulas, birth professionals, and other service providers who use Mumzie to manage their practice.
  • •"Client" means individuals who book services or interact with Providers through the Platform.
  • •"User" means any person who accesses or uses the Platform, including Providers and Clients.
  • •"Content" means all information, data, text, images, and other materials uploaded or transmitted through the Platform.
  • •"PHI" means Protected Health Information as defined under HIPAA.

2. Account Registration

To use certain Platform features, you must register for an account. When creating an account, you agree to:

  • •Provide accurate, current, and complete registration information.
  • •Maintain and promptly update account information.
  • •Maintain the security and confidentiality of login credentials.
  • •Accept responsibility for all activity under your account.
  • •Immediately notify us of unauthorized account use.
  • •Acknowledge that our Privacy Policy describes account registration, sign in, and authenticated product usage analytics. Optional analytics and advertising technologies on public marketing pages remain subject to your privacy choices.
  • •We may suspend or terminate accounts with inaccurate information or accounts that violate these Terms.

3. Acceptable Use Policy

You agree not to use the Platform to:

  • •Violate laws, regulations, or third-party rights.
  • •Upload, transmit, or distribute unlawful, defamatory, harassing, abusive, fraudulent, or obscene Content.
  • •Impersonate any person or entity or misrepresent an affiliation.
  • •Misrepresent credentials, certifications, qualifications, or professional status.
  • •Interfere with or disrupt Platform integrity or performance.
  • •Attempt unauthorized access to the Platform or related systems.
  • •Send unsolicited communications or harvest information without authorization.
  • •Use bots, scrapers, or other automated systems without our express written permission.
  • •Circumvent or interfere with Platform security features.

4. Provider-Specific Terms

Important Notice Regarding Credentials

You are solely responsible for the accuracy of credentials, certifications, training, or qualifications displayed on your profile. By listing any credential on your Mumzie profile, you represent that it is current, valid, in good standing, and that you can provide proof upon request.

4.1 Credential Attestation

When you add certifications, training, or specialties to your public profile, you must attest that the information is accurate and current. The attestation is recorded with timestamp and IP address for audit and legal purposes.

  • •False information may result in account suspension or termination.
  • •False information may result in removal of your public profile.
  • •False information may be reported to relevant certification bodies.
  • •False information may result in legal action for fraud or misrepresentation.

4.2 Verification Disclaimer

Mumzie Holdings LLC does not independently verify provider credentials. Credentials displayed on provider profiles are self-reported by providers. We do not contact certification bodies, review certificates, conduct background checks, or guarantee accuracy of provider information.

4.3 Professional Conduct

As a Provider, you agree to:

  • •Maintain appropriate professional liability insurance.
  • •Comply with laws and regulations governing your profession.
  • •Provide services within your scope of practice and training.
  • •Maintain client confidentiality under applicable laws.
  • •Respond to client communications in a timely manner.
  • •Honor appointments or provide reasonable cancellation notice.

5. Client-Specific Terms

As a Client, you acknowledge that:

  • •Provider credentials displayed on Mumzie are self-reported and not independently verified by us.
  • •You should conduct your own due diligence before engaging any Provider.
  • •You are encouraged to request proof of certifications directly from Providers.
  • •Mumzie Holdings LLC is not responsible for the quality, safety, legality, or suitability of services provided by Providers.
  • •Contracts or agreements with Providers are between you and the Provider only.
  • •Mumzie Holdings LLC does not provide medical advice, and the Platform is not a substitute for professional medical care.

6. HIPAA and Protected Health Information

6.1 Business Associate Agreement

For paid subscription tiers with HIPAA-ready features enabled, and where a Business Associate Agreement (BAA) is in place, use of those features is governed by that BAA, incorporated into these Terms by reference.

6.2 Your HIPAA Obligations

As a covered entity or healthcare provider, you are responsible for:

  • •Determining whether HIPAA applies to your practice.
  • •Implementing appropriate administrative, physical, and technical safeguards.
  • •Training staff on HIPAA requirements.
  • •Obtaining necessary patient authorizations before disclosing PHI.
  • •Reporting suspected breaches to us promptly.

6.3 Tiers Without HIPAA-Ready Features

Users on tiers without HIPAA-ready features enabled acknowledge that those tiers are not configured for Protected Health Information. You should not store, transmit, or process PHI using features that are not designated for it. We are not liable for HIPAA violations resulting from such use.

7. Payment Terms

7.1 Subscription Fees

Certain Platform features require a paid subscription. By subscribing, you agree to pay applicable fees as described at purchase. Subscription fees are billed in advance monthly or annually depending on your plan.

7.2 Payment Processing

Payments are processed through Stripe. You agree to Stripe's terms of service when making payments through the Platform.

7.3 Refunds

Subscription fees are generally non-refundable. We may provide refunds at our sole discretion in certain circumstances. Contact support for refund requests.

8. Intellectual Property

8.1 Our Property

The Platform, including design, features, functionality, and content excluding User Content, is owned by Mumzie Holdings LLC and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of Content uploaded to the Platform. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely to provide and improve the Platform.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting support or using account deletion settings. Upon termination, you lose Platform access and data may be deleted according to our retention policies.

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • •You breach these Terms.
  • •You engage in fraudulent, illegal, or harmful activity.
  • •You misrepresent credentials or qualifications.
  • •We receive credible complaints about your conduct.
  • •We are required to do so by law.
  • •We discontinue the Platform or any part of it.

9.3 Effect of Termination

Upon termination, your right to use the Platform immediately ceases. Sections that should survive by their nature, including limitation of liability, indemnification, and dispute resolution, will survive.

10. Limitation of Liability

Important Legal Notice

To the maximum extent permitted by applicable law, Mumzie Holdings LLC, its affiliates, officers, directors, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, personal injury, reliance on provider credentials, provider services, provider misrepresentation, user disputes, unauthorized data access, or third-party conduct. Our total liability for claims relating to these Terms or Platform use will not exceed the greater of amounts paid to us in the twelve months before the claim or $100.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, error-free, or that defects will be corrected. We do not warrant accuracy, completeness, or reliability of Content obtained through the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mumzie Holdings LLC and its officers, directors, employees, agents, and affiliates from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or connected with:

  • •Your use of the Platform.
  • •Your violation of these Terms.
  • •Your violation of laws or regulations.
  • •Your Content.
  • •For Providers, misrepresentation of credentials or qualifications.
  • •For Providers, services you provide to Clients.
  • •Any dispute between you and another User.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact hello@gomumzie.com and attempt informal resolution. We will attempt good-faith negotiations for at least 30 days.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, you and Mumzie Holdings LLC agree to resolve disputes through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

13.3 Class Action Waiver

You and Mumzie Holdings LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action.

13.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

13.5 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

14. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any agreements incorporated by reference, constitute the entire agreement between you and Mumzie Holdings LLC concerning the Platform.

15.2 Severability

If any provision is unenforceable, remaining provisions continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without prior written consent. We may assign these Terms without restriction.
